Is it worth while?
Chap at my work - now I've got to know him is pretty genuine and an honest Omega fan, he is wanting to upgrade from the 3.0 to the 3.2 but i honestly couldn't advise him about it or even if its worth while as i don't know myself :-\
His car is the sister to the ex-TVP saloon shown below....
W948 FWL did indeed used to belong to TVP. When in service, there were no mechanical / engine alterations made to it.
Its sister vehicle, W944 FWL is below...

If it's a manual car the engine will obviously drop straight in, but will need the complete engine bay contents from the 3.2, along with the loom, ecu and clocks... better to fit 3.2 cams and exhaust manifolds to the 3.0 lump, and chip the ecu :-\

All suggestions/comments welcome as I'll be advising him when i see him again on Wednesday....
It is a manual being ex-TVP, i did mention about loom etc... but not overly sure tbh - I'm not even sure myself on the differences between the 3.0 and the 3.2 :-\

2.5/3.0 cabled throttle, egr valve and secondary air injection.
2.6/3.2 (and post 2001 3.0 Cadillac Cateras) have drive by wire throttles, with no egr/sai, different loom and different sensors. Exhaust manifolds are a different design as well. Some detail differences between the internals as well, but basically the same core engine :y

I've noticed on mine a few differences, one easy to spot is the little cylinder thing to the right of the air intake that is missing but on the 3.0s

"Upgrade"?
If the 3.0l is still servicable, keep to that.
TBH, there is absolutely no difference in power between them, only the 3.0l is far better on fuel, and electrically/sensorwise more reliable.

3.2 is a 3 gang coil PAC per bank. As opposed to the dis PAC and plug leads of the 3.0.
3.2 is a MUCH less cluttered engine bay. Oh, no cruise box either, because if the Dbw throttle which also frees up a lot of room.
So thats physical differences in the engine bay. Driving the two, differences are minimal. 3.2 Dbw throttle is much lighter, and you don't feel the movement of the cruise control settings. Dbw also picks up much quicker at small throttle openings.
Power , differences are minimal. So is it worth changing ? NO absolutely not. That plod engine will have had ALL of the surviving done and more, in fact, the state of the engine is the only reason for buying a plod car in the first place in some peoples eyes.
...unless there's a fatal problem with the 3.0, then that's different.

It's a non-starter converting it to DBW, IMHO.
3.2 basic engine would probably work on 3.0 management if everything is swapped over. It won't make any more power, though, so not worth doing.

Wasn't it Daz that had a 3.0 that had to come out, and only had 3.2 engine spare?
He had to fit the cam covers and leads to the 3.0 to the 3.2 lump to match the looms and engine management of the car, iirc?

Possibly. I know he fitted a 3.0 engine into his 2.6 by swapping all the ancillaries over. Only thing different in the basic engine is that the early 3.0/2.5 engines didn't have mountings for the COP coil packs in the head castings.

its straight swap if you use bare 3.2 and drop in 3.0 place :y

Yep, if keeping the injection setup and wiring then its dead easy......3.2 exhaust manifodls are an improvement over the 3.0 ones so keep them (and modify the front pipes very slightly)
